NaturalShrimp Inc (OTCMKTS: SHMP) NSI is a biotechnology company that has developed proprietary platform technologies that allow it to grow Pacific White shrimp (Litopenaeus vannamei, formerly Penaeus vannamei) in an ecologically controlled, high-density, low-cost environment, and in fully contained and independent production facilities. NSI system’s use technology which allows it to produce a naturally grown shrimp “crop” weekly and accomplishes this without the use of antibiotics or toxic chemicals. NSI has developed several proprietary technology assets, including a knowledge base that allows it to produce commercial quantities of shrimp in a closed system with a computer monitoring system that automates, monitors, and maintains proper levels of oxygen, salinity, and temperature for optimal shrimp production. The Company’s production facilities are located in La Coste, Texas and Webster City, Iowa.
NaturalShrimp replaced the 33,000 square foot Pilot Plant building located on 37 acres in La Coste. TX outside of San Antonio, TX that was destroyed by fire in March of 2020 with a new 40,000 square foot fully operational shrimp production facility. The La Coste, TX shrimp production facility contains twenty 2,000-gallon nursery tanks, forty 20,000-gallon growout tanks, two 10,000-gallon settling tanks, and one 20,000-gallon harvest tank for a total tank volume capacity of 880,000 gallons. In addition, NaturalShrimp converted an existing 8,000 square foot structure to serve as a water treatment plant for the new shrimp production facility.
NaturalShrimp also acquired the assets of a previous Barramundi indoor recirculating fish farm located in Iowa. This included the real property, equipment, tanks, rolling stock, inventory, permits, customer lists, contracts, and other such assets used in the operation of the business. These facilities provide 2,700,000 gallons of recirculating capacity and approximately 344,000 square feet.
NSI also has a subsidiary Natural Aquatic Systems which is focused on warm water finfish and crustaceans e.g., salmon, barramundi, abalone, trout, and yellowtail kingfish. Natural Aquatic Systems is approaching this industry in three parallel phases that include testing, pilot, and commercial.
NSI recently gave an update on its partnership with US Foods, South Texas area, including an exclusive grow out program for their customers in Austin, Houston, and San Antonio. US Foods is one of America’s great food companies and a leading foodservice distributor, partnering with approximately 250,000 restaurants and foodservice operators to help their businesses succeed. With 70 broadline locations and more than 80 cash and carry stores, US Foods and its 28,000 associates provides its customers with a broad and innovative food offering and a comprehensive suite of e-commerce, technology, and business solutions. The Company recently commenced deliveries of fresh shrimp to customers of US Foods, Southern Texas division, as part of a strategic program to educate and build interest in the product. Weekly deliveries and route cycles have been finalized and are supported with training, education, and marketing collateral.

In October NSI and Yotta Acquisition Corporation (NASDAQ: YOTA) a special purpose acquisition company, today announced the signing of a definitive agreement for a proposed merger of the two companies. Under the Business Combination Agreement, NaturalShrimp will merge with a wholly owned subsidiary of Yotta. The companies intend for Yotta’s common stock to continue to be listed on the Nasdaq Capital Market. Assuming no redemptions by Yotta public stockholders, upon closing, the combined entity could have access to as much as $105 million in net cash (after paying transaction expenses) from the Yotta trust account. Yotta Acquisition Corp. will issue 17.5 million of its common shares (current valuation of $175.0 million) to the stockholders of NaturalShrimp. In addition, the stockholders of Natural Shrimp are entitled to receive an additional 5.0 million common shares (current valuation of $50.0 million) based on achieving certain revenue targets for 2024 and 5 million common shares (current valuation of $50 million) for revenue targets for 2025. In January the business combination was extended too April 22, 2023.
On February 15 NSI announced the beginning of a prawn farm wastewater trial in Mackay, Australia. The study is funded by the Fisheries Research and Development Corporation (FRDC) and the Australian Prawn Farmers Association. This collaborative effort between NaturalShrimp, its wholly owned subsidiary Natural Aquatic Systems, industry, suppliers and the FRDC aims to evaluate the Company’s patented electrocoagulation (EC) technology for the coagulation of microalgae and reduction of total nitrogen in wastewater.
The reduction of total nitrogenous output in the pond culture of prawns remains a challenge for the Australian prawn industry. In response to this, a project has been initiated to investigate the use of EC technology to remove microalgae and total nitrogen from settlement pond discharge. The project is being conducted by Nautilus Collaboration, Natural Aquatic Systems, and Fresh By Design. EC has been proven to be an effective method for wastewater treatment and is highly favored over chemical coagulation because it does not require additional chemicals.
